1. Introduction
Welcome to Softflow Solutions. These Terms & Conditions govern your use of our website and the software development, web development, and digital services provided by us. By accessing our website or using our services, you agree to be bound by these terms.
2. Services
Softflow Solutions provides custom software development, mobile app development, web development, enterprise solutions, and IT consulting services. The specific scope, deliverables, and timelines will be outlined in a separate Project Agreement or Statement of Work (SOW) agreed upon by both parties.
3. Payment Terms
Payments for services are milestone-based, as defined in the Project Agreement. Invoices are due within the timeframe specified on the invoice. We reserve the right to suspend services if payments are not made on time.
4. Intellectual Property Rights
Upon full payment for the services rendered, the intellectual property rights of the custom-developed software/code will be transferred to the client, unless otherwise agreed upon in writing. Softflow Solutions retains the right to use underlying libraries, frameworks, and generic code developed previously.
5. Confidentiality
Both parties agree to maintain the confidentiality of any proprietary information shared during the project. We are happy to sign a Non-Disclosure Agreement (NDA) upon request.
6. Limitation of Liability
Softflow Solutions shall not be liable for any indirect, incidental, special, or consequential damages, including loss of profits, data, or business opportunities, arising out of or related to our services.
7. Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising out of these terms shall be subject to the exclusive jurisdiction of the courts located in India.
